A Day in the Life:
- Begin the day by reviewing compliance calendars and ensuring filings with MCA/RBI are on track.
- Draft and circulate agenda items for upcoming Board or Committee meetings.
- Prepare minutes of meetings and update statutory registers.
- Coordinate with auditors, legal advisors, and regulators for ongoing matters.
- Review contracts, NDAs, and agreements to ensure compliance with corporate laws.
- Support leadership in regulatory correspondence, investor relations, and governance initiatives.
- End the day by updating management on critical compliance actions and advising on risk areas.
Key Responsibilities:
- Ensure compliance with all statutory, legal, and regulatory requirements under the Companies Act, SEBI, RBI, and other applicable laws.
- Maintain company records, registers, and filings, including annual returns, board resolutions, and statutory forms.
- Organize and manage Board Meetings, Annual General Meetings (AGMs), and other committee meetings, including preparing agendas, minutes, and necessary documentation.
- Advise the Board of Directors on corporate governance practices, legal risks, and compliance requirements.
- Liaise with regulators, auditors, lawyers, and stakeholders for effective communication and compliance.
- Oversee secretarial audits, compliance reporting, and timely filing with MCA, RBI, and other regulatory authorities.
- Draft and review agreements, contracts, and other legal documents to safeguard the company’s interests.
- Support in fundraising activities, investor communications, and due diligence processes.
Basic Qualifications & Skills:
- Qualified Company Secretary (Member of ICSI).
- 5 - 7 years of post-qualification experience, preferably in a fintech, BFSI, or technology-driven organization.
- Strong knowledge of Companies Act, SEBI, RBI regulations, and corporate governance frameworks.
- Excellent communication skills in English, Hindi, and Kannada.
- High attention to detail, strong organizational skills, and ability to work under tight deadlines.
Preferred Qualifications:
- Experience working in a fintech or startup environment with exposure to fast-scaling operations.
- Additional qualification in Law (LLB/LLM) or Finance (CA/CS/CFA) will be an advantage.
- Proven track record of handling investor relations, ESOP compliance, and fundraising documentation.
- Familiarity with digital tools for compliance and governance management.
- Ability to advise leadership on risk management, M&A, and strategic corporate decisions.
