JOB SUMMARY Oversee Secretarial Functions under the Companies Act, 2013 and Rules, Regulations and Guidelines made there under and other applicable Corporate Laws including SEBI laws and listing regulations; Ensure proper compliance of all applicable laws & maintain standards of corporate governance, Organizing BOD and committee meetings, AGMs. Oversee court related matters involving Mergers / Demergers / Capital Reduction etc. and oversee all Securities issuances / handling of existing shareholders / Interacting with Investor Advisory Firms KEY RESPONSIBILITIES - Compliances under Companies Law and Regulatory matters - Ensuring compliance under the Company's Act 2013 as amended from time to time and other acts in respect of Company. and its subsidiary companies. - Ensure maintenance of all records and returns as required under various statutes under Company Law. - Keeping the Certificate of Incorporation and Memorandum and Articles of Association and copies of company forms in case of Company. and its subsidiaries. - Discharging duties of Compliance Officer including in terms of the Listing Agreement and SEBI Laws, Ensuring compliance of SEBI Laws and Depositories Act including Corporate Governance as per Clause 49 of the Listing Agreement. - Ensure compliance with stock exchange listing norms, SEBI guidelines, corporate governance report. - Interface with Legal team and counsels for legal cases / appeals pertaining to Mergers / Demergers, Securities issuances etc. Matters pending with SEBI / SAT, Mumbai Board Meetings/Shareholder's Meetings/AGM- S - Ensure that board meetings, shareholder meetings are held in accordance with the applicable laws - Prepare and maintain minutes, statutory books including registers of members, directors and secretaries; and filing of return with Registrar of Companies, CLB, Stock Exchanges and Government in respect of Company. and its subsidiaries - Organising the annual general meetings and coordinating publication of the annual report. - Deal with correspondence, collate information and write reports, ensuring decisions made are communicated to the relevant company stakeholders; Investor Relations - Coordination with Registrar and Share transfer agency office ensuring proper maintenance of the register of shareholders and monitor changes in share ownership of the company. - Coordinate briefings to Investor Advisory firms General - Monitor changes in relevant legislation and the regulatory environment, and take appropriate action as and when required. - Develop and oversee the systems that ensure the company complies with all applicable codes, as well as its legal and statutory requirements. - Responsible for ensuring that company complies with standard financial and legal practice and maintains standards of good corporate governance. Responsibilities

Responsible for quarterly GAAP and IFRS accounting oversight and financial reporting. Liaise with external auditors to facilitate the timely completion of audited financial statements. - Having experience in Asset Management, Risk Management, Valuations, Tax, Legal, Compliance, Product Management, Middle Office, and Treasury. AP and AR management, ensure timely processing of the invoices and thus timely payments. Invoice clarification including interaction with purchasers, requisitions and/ or vendors and ensuring 100% accuracy of invoices processed. Requirements

Bachelor’s degree in finance, commerce and CA with 1 - 2 years of experience 4 to 6 years of relevant experience in Accountancy administration Proficiency in Microsoft Office, Zoho Books, Oracle or similar accounting software Proficiency in statutory and tax filings including GST, TDS, PF, PT, MLWF, ESIC, sales tax, income tax and related reconciliations Experience of accounting standards Indian GAAP and US GAAP Experience in preparing management reporting (MIS), company vauations, stock option agreements and related computations Experience of secreterial filings with regularory authorities like RoC in India, RBI in India and SEC in the US Should have multitasking ability and ability to meet the targeted deadlines Strong numerical aptitude and attention to detail Excellent communication skills, both verbal and written Good time management and organizational skills

We’re looking for a superstar engineer that is well versed with AI and audio technologies around audio detection, speech-to-text, interpretation, and sentiment analysis.  

You will be responsible for:

Developing audio algorithms to detect key moments within popular online games, such as:

Streamer speaking, shouting, etc.

Gunfire, explosions, and other in-game audio events

Speech-to-text and sentiment analysis of the streamer’s narration

Leveraging baseline technologies such as TensorFlow and others -- and building models on top of them

Building neural network architectures for audio analysis as it pertains to popular games

Specifying exact requirements for training data sets, and working with analysts to create the data sets

Training final models, including techniques such as transfer learning, data augmentation, etc. to optimize models for use in a production environment

Working with back-end engineers to get all of the detection algorithms into production, to automate the highlight creation

You should have the following qualities:

Solid understanding of AI frameworks and algorithms, especially pertaining to audio analysis, speech-to-text, sentiment analysis, and natural language processing

Experience using Python, TensorFlow and other AI tools

Demonstrated understanding of various algorithms for audio analysis, such as CNNs, LSTM for natural language processing, and others
